Senior Legal Counsel - Corporate and Transactional

  • The position will suit a lawyer who has over 8 years post qualification experience.

  • Candidates should be willing to undertake a wide variety of work, have excellent people skills, be pro-active, commercially focused and a team player.

  • It is important that you can work in a dynamic, driven, commercial, open plan environment across business lines, be flexible with your work practice and the type of work that you may become involved in.

  • Work within a collaborative, high-performing team - 3 days p er week minimum in the Sydney, CBD office.

The Corporate &
Investments Legal Team is a driven, high-performing but very friendly and collegiate team of senior transaction lawyers focusing on delivering commercially driven, timely and quality legal support to a variety of business units within Challenger. Whilst day-to-day legal work is primarily conducted on a reasonably autonomous basis, teamwork is highly valued and recognised.

The Senior Legal Counsel will be responsible for providing commercially driven, timely and quality legal support to the Challenger Group. This role will suit a lawyer with great commercial awareness and a genuine interest to connect with the business and provide legal assistance that is practical and effective. The position suit s a transactional lawyer who is looking for a role that is more generalist in nature.

The o perational a spects of the r ole:

  • Advising the Fixed Income team in Challenger Investment Management ( CIM ), which focuses on Corporate Finance / LBO, Commercial Real Estate and ABS transactions, with structuring advice, reviewing, and negotiating contracts and opinions, and managing external counsel.

  • Advising the Fixed Income team in CIM on matters related to our portfolio, including amendments, waivers, consents and (where required ) restructuring / insolvency.

  • Advising internal stakeholders on variety of corporate and transactional work. This may include, for example, strategic M&
    A, growth initiatives, corporate law issues, IT / services contracts, confidentiality agreements and agility initiatives.

  • Providing legal input on Regulatory Change projects.

  • Assisting with the l egal aspects o f strategic business projects, transactions, and wider commercial work.

Knowledge &
s kills required:

  • Good working knowledge of Corporations Act issues (including directors' duties, financial assistance, insolvency provisions and related party transactions) and trusts.

  • Experience in identifying, assessing, evaluating, and managing legal risks.

  • Excellent drafting, reviewing, and negotiating skills for legal documentation.

  • Excellent people, communication, and stakeholder management skills, including dealing with internal stakeholders, external counsel and counterparties.

  • Ability to operate with a high degree of autonomy and independently manage workload.

  • Combination of being highly self-motivated along with being a genuine team player.

  • Adept at using Microsoft suite of products.

Experience &
q ualifications required
:

  • 8-12 years PQE full-time experience in a large commercial law firm or in-house legal team.

  • Substantial experience in a broad range of corporate and financing transactions.

  • Good working knowledge of general corporate transactions, including M&
    A.

  • Australian legal qualifications and a current Australian practising certificate.
