As the Senior Associate - Corporate M&
A, you will play a pivotal role in leading high-profile M&
A transactions for our client. Leveraging your expertise in corporate law and M&
A transactions, you willadvise clients on complex legal issues and navigate them through intricate deal structures.
Key Responsibilities:
- Lead and manage M&
A transactions from inception to completion, including due diligence, negotiation, and documentation. - Advise clients on corporate governance matters, transaction structuring, and regulatory compliance.
- Conduct comprehensive legal research and analysis to identify risks and opportunities associated with M&
A transactions. - Draft and review transactional documents, including merger agreements, share purchase agreements, and disclosure schedules.
- Coordinate and liaise with internal and external stakeholders, including clients, counterparties, and regulatory authorities.
- Provide strategic advice to clients on deal negotiations, risk management, and dispute resolution.
- Manage junior associates and legal teams involved in M&
A transactions, providing guidance and support as needed. - Assist in business development activities, including client pitches, proposals, and presentations.
- Stay updated on legal and market developments impacting M&
A transactions and provide thought leadership within the firm. - Collaborate with cross-functional teams, including tax, finance, and regulatory specialists, to deliver integrated legal solutions.
- Represent the firm at industry events, conferences, and seminars to enhance the firm's visibility and reputation in the market.
- Support knowledge management initiatives by sharing insights, best practices, and lessons learned from M&
A transactions. - Participate in training and professional development programmes to enhance technical skills and legal expertise.
- Uphold the firm's values and professional standards in all interactions and engagements with clients and colleagues.
- Contribute to a positive and inclusive work culture that fosters collaboration, innovation, and excellence.
Qualifications Required:
- Bachelor's degree in Law from a recognised institution.
- Admission to practice as a solicitor or barrister in the relevant jurisdiction.
- Minimum of 5+ years of post-admission experience in corporate law and M&
A transactions. - Demonstrated experience leading M&
A transactions, including complex cross-border deals. - Strong knowledge of corporate governance principles, securities regulations, and commercial law.
- Excellent drafting, negotiation, and communication skills.
