The purpose of Risk &
Governance is to help our business partners succeed via valued risk and compliance advice, whilst safeguarding UniSuper through effective controls assurance and oversight.
The Legal Team comprises three teams:
Legal Advisory, Legal Negotiations and Investments Legal. All teams support the General Counsel.
THE ROLE
UniSuper has, through its commercial dealings, a high demand for specialist legal representation to draft and negotiate a wide variety of contracts. Examples include commercial agreements for goods and/or services (high to low value), 'time and materials' agreements, IT / software licences and agreements (including Software-as-a-Service arrangements (SaaS), master service agreements, statements of work and work orders), leases and licences to occupy, consultancy agreements, settlement agreements, confidentiality agreements and heads of agreement / memoranda of understanding etc.
The Legal Counsel role exists to ensure UniSuper's personnel have ready access to expert, customised contracts advice, as well as to optimise or minimise the time which UniSuper personnel need to spend on contract negotiations. Furthermore, this role will provide legal insights and advice on contractual matters that supports informed decision making by management, contributing to UniSuper's overall success.

  • Review, negotiate, draft and advise on a wide range of legal agreements concerning the Fund's general commercial dealings:
  • Identify and assess potential legal risks and liabilities in contract terms and propose mitigating actions
  • Ensuring that contracts comply with applicable laws, regulations and company policies
  • Providing legal support on major tenders, projects and procurement
  • Advising on the resolution of significant contractual disputes and liaising with external law firms

ABOUT YOU
We're looking for someone with high energy, as well as a passion for problem solving and creative thinking. You do not need to be a superannuation and financial services lawyer although you will have an opportunity to grow into this area.
Furthermore, you will possess:

  • Practical experience in drafting, reviewing and negotiating contracts (financial services or superannuation law experience is desirable but not a requirement). Experience with IT-related agreements would be highly beneficial
  • Legal qualifications and a current practising certificate
  • At least three years' experience in a law firm environment or in-house legal function
  • Strong advocacy and verbal negotiation skills to persuade and influence colleagues and counterparties in the context of negotiations conducted face-to-face or via video calls.
  • An ability to take a commercial, risk-based approach to matters, balancing operational and legal risk against commercial objectives consistent with the Fund's risk appetite
  • Strong attention to detail to identify and address potential legal issues in contract language and term paired with excellent analytical skills
  • A curious mind and genuine interest in learning about the operations of a superannuation fund on the job
