Job Description

Commercial Contracts

  • Draft, review, and negotiate a wide range of commercial contracts, including supply agreements, distribution agreements, service contracts, and other business-related documents.
  • Identify and mitigate legal risks associated with commercial transactions and ensure compliance with relevant laws and regulations.
  • Develop and maintain a comprehensive contract management system to ensure efficient handling of all contractual obligations and deadline.


Legal Advice and Compliance

  • Provide timely and practical legal advice to various business units on a broad range of legal issues, including corporate governance, regulatory compliance, intellectual property, and employment law.
  • Assist in the development and implementation of company policies and procedures to ensure legal compliance and mitigate risks.
  • Manage and resolve legal disputes, including litigation and arbitration, in collaboration with external counsel as necessary.


Board Governance and Support

  • Prepare and review Board and committee meeting materials, including agendas, minutes, resolutions, and related documentation.
  • Advise on corporate governance practices and ensure compliance with legal and regulatory requirements related to Board operations.


Business Transactions

  • Facilitate and support legal due diligence for potential acquisitions and divestments, identifying and assessing legal risks and implications.
  • Provide legal support throughout the lifecycle of mergers, acquisitions, joint ventures, and divestitures, including drafting and negotiating transaction documents.
  • Assist in the integration of acquired businesses and ensure legal compliance post-acquisition.


Supplier relationships

  • Relationship management with Suppliers


Health &
Safety

Cooperate with Management to:

  • Provide and maintain systems of work, and working environments that are safe and without risks to health.
  • Provide the information, instruction, training, and supervision necessary to ensure the health and safety of employees.
  • Consult with employees about WH&
    S matters so that they can contribute to decisions affecting their health, safety, and welfare.
  • Ensure the health and safety of people visiting or working who are not employees by not exposing them to risk.
  • Comply with corporate and legal health and safety requirements.
  • Identify and correct unsafe conditions or behaviours and immediately notify the Manager of any serious incidents;
    complete and Incident /Injury Report and forward to the Safety Manager within 48 hours where necessary.
  • Undertake duties in accordance with the current Policies and Procedures.


ESG/Sustainability

  • Support the company's ESG / Sustainability strategy including contributing to projects where required.
  • Engage in sustainable practices as directed by the company.
  • Identify and contribute ideas to achieve the company's ESG/Sustainability strategy.
  • Seek ways to improve sustainability within the role, department, and company in general.
  • Promote the advancement of ESG / Sustainability within the company, to customers and with suppliers.

The Successful Applicant

  • Strong strategic thinking, leadership, and project management skills.
  • Excellent communication and interpersonal abilities.
  • Strong drafting, negotiation, and analytical skills.
  • Proficiency in contract management and legal research tools.
  • Excellent stakeholder management, ability to deal with multiple stakeholders and handle competing priorities.
  • Demonstrated problem solving capability.
  • Excellent time management, organisation, and prioritisation.
  • The ability to influence, manage and challenge ideas and existing business processes.
  • In-depth knowledge of commercial law, corporate governance, regulatory compliance, and M&
    A transaction.
  • Minimum of 7 years of experience in commercial law, preferably with experience in the FMCG industry or a related sector.
  • Bachelor's degree in Law (LLB) from a recognized institution. Admission to the bar in relevant jurisdiction.
