Job Description

HCA is a leading national social housing provider. We develop and manage our own properties and work closely with leading government and non-governmental organisations to provide housing for our clients.

We currently have an opportunity for a Company Secretary &
Corporate Counsel. The hybrid role will be directly accountable to the HCA group Chair and Board with respect to the Company Secretary aspects of the role. As a part of the Corporate Counsel role, you will work with the Executive General Manager, Legal &
Governance to lead major corporate legal matters, relating to general commercial transactions, regulatory obligations, group structure (e.G. entity reorganisation and establishment of SPVs), corporate governance and mergers &
acquisitions.

Theideal candidate will be highly experienced with company secretarial duties and in corporate governance, while also having transactional experience to support the legal team on corporate and commercial matters.

The legal &
governance team is a close-knit, hardworking team that works well with a strong sense of trust and camaraderie. The team is growing, and this role will report to the Executive General Manager, Legal and Governance (with obligations directly to the Chair and Board) and work with other experienced legal team members.

The role will ideally suit a team-oriented person with strong board and executive engagement skills who is keen to learn, develop and provide leadership and support to other members of the legal &
governance team. HCA has a genuine flexible/hybrid work policy with five weeks of annual leave to improve employee well-being. The role can also be done on compressed hours (38hrs in 4 or 4.5 days).

The position is a full-time (fixed-term, two years) role based in Melbourne (close to Melbourne Central Station).

Desired Skills and Experience

About You:

  • Tertiary qualification in law and holder of the current practising certificate (or ability to readily regain practising certificate).
  • 7 years + post-admission experience.
  • Extensive experience in corporate governance, supporting boards and undertaking company secretarial duties.
  • Strong experience working on corporate and commercial transactions
  • Demonstrated interest in NFP or community sector
  • Well-developed conceptual, analytical, and problem-solving skills, sound commercial judgement, and decision-making ability, including identifying key issues
  • Strong interpersonal communication, stakeholder engagement and relationship development skills
  • Ability to coach, mentor and support team members and operate in a strong team environment
  • Strong knowledge and experience in the social housing or not-for-profit sector
